Terms and Conditions of Participation
Affiliate and Partner Program
of HM Heilarzneihaus Medica GmbH
(hereinafter "Heilarzneihaus")
§ 1 Scope and Subject Matter of the Contract
(1) These Terms and Conditions of Participation govern the contractual relationship between HM Heilarzneihaus Medica GmbH, Kölner Straße 27, 50226 Frechen, Germany (hereinafter "Heilarzneihaus") and the participants of the affiliate and partner program (hereinafter "Affiliate Partner" or "Partner").
(2) The affiliate program enables the Partner to promote Heilarzneihaus products via individual referral links (affiliate links). For qualified sales demonstrably made through the Partner's affiliate link, the Partner receives remuneration in the form of shop credit in accordance with these terms.
(3) The general terms and conditions of the online shop (Shop T&Cs) apply additionally, unless these Terms and Conditions of Participation make differing provisions. In case of contradictions, these Terms and Conditions of Participation take precedence over the Shop T&Cs.
(4) By registering for the affiliate program, the Partner confirms having read and fully accepted these Terms and Conditions of Participation.
§ 2 Eligibility and Registration
(1) Participation in the affiliate program is open to natural and legal persons. By registering, the Partner assures that they are of legal age and legally competent.
(2) Registration is done via the registration page provided on the Heilarzneihaus website. Heilarzneihaus reserves the right to refuse registrations without giving reasons or to terminate existing partnerships.
(3) Each natural or legal person may only maintain one affiliate account. Multiple registrations, even via different email addresses or persons from the same household or organization, are not permitted.
(4) The Partner is obligated to provide truthful information during registration and to update it immediately in case of changes.
§ 3 Type and Amount of Remuneration
(1) Remuneration is exclusively in the form of shop credit, which can be used in the Heilarzneihaus online shop to purchase goods. There is no entitlement to cash payment, bank transfer, or any other monetary payout.
(2) The commission rate (percentage of the net order value) will be communicated to the Partner upon registration and can be viewed in the Partner Dashboard. Heilarzneihaus reserves the right to change commission rates with a 14-day prior notice.
(3) Commissions are only granted for completed, paid, and non-cancelled or non-returned orders. If an order is fully or partially returned, cancelled, or refunded, the corresponding commission will be debited proportionally.
(4) Commissions are credited to the Partner's balance only after the end customer's statutory right of withdrawal period (usually 14 days after receipt of goods).
§ 4 Redemption and Offset of Credit
(1) Accumulated shop credit can only be used for orders in the Heilarzneihaus online shop.
(2) Per calendar month, credit up to a maximum value of 500.00 EUR (five hundred euros) can be used. This amount refers to the gross order value including shipping costs. Any unused monthly offsetting volume cannot be carried over to subsequent months.
(3) Splitting the credit across multiple orders within one calendar month is permissible, provided that the total value of all credit-financed orders does not exceed the monthly limit of 500.00 EUR.
(4) Combining shop credit with other discount promotions, voucher codes, or special conditions is only possible if Heilarzneihaus explicitly permits this in individual cases.
(5) Orders that exceed the monthly maximum offsetting amount may be cancelled by Heilarzneihaus or adjusted to the permitted maximum amount. In this case, the Partner will be informed immediately.
§ 5 Forfeiture of Credit
(1) Shop credit that has not been used within 12 months after being credited will expire without replacement. The period begins with the respective crediting of each commission.
(2) Upon termination of the affiliate contractual relationship - for whatever reason - the Partner must redeem their remaining credit within 3 months of termination, whereby the monthly offsetting limit according to § 4 para. 2 still applies. After this period, any remaining credit will expire without replacement.
(3) Repurchase of credit by Heilarzneihaus or transfer to third parties is excluded.
§ 6 Unacceptable Practices
(1) The Affiliate Partner is particularly prohibited from:
a) Self-orders: Placing orders via one's own affiliate link, either directly or through third parties, strawman structures, related persons, or persons from the same household.
b) Soliciting existing customers: Deliberately targeting, redirecting, or intercepting individuals who are already customers of Heilarzneihaus to induce them to make another purchase via their own affiliate link. This includes, in particular, placing advertisements specifically aimed at existing Heilarzneihaus customers, as well as direct contact with known existing customers.
c) Trademark infringements: Use of the brand "Heilarzneihaus", the company name or confusingly similar designations in domain names, social media handles, paid search advertisements (e.g., Google Ads Brand Bidding), or other identifiers without prior written permission.
d) Spam and unauthorized distribution: Mass automated distribution of the affiliate link via forums, comment sections, email distribution lists, messenger groups, or other channels that do not represent a genuine, independent reach of the Partner. This also includes commissioning third parties (e.g., office structures at home or abroad) for distribution.
e) Deception: Creating misleading content, fake reviews, or false promises in connection with Heilarzneihaus products.
f) Cookie stuffing and technical manipulation: The use of technical means to artificially assign sales, including cookie dropping, browser redirects, pop-unders, or similar methods.
(2) In case of violations of the above regulations, Heilarzneihaus reserves the right to take any or all of the following measures: immediate blocking of the affiliate account, reversal of all commissions obtained through unacceptable practices, forfeiture of the entire credit without replacement, extraordinary termination of the affiliate contractual relationship, and assertion of claims for damages.
(3) In case of a violation, the Partner bears the burden of proof that the disputed commissions were generated in a permissible manner.
§ 7 Right of Review and Credit Monitoring
(1) Heilarzneihaus reserves the right to review affiliate activities and credit balances at any time. This includes, in particular, verifying the underlying orders, checking compliance with these terms and conditions of participation, and analyzing the origin of traffic.
(2) In the case of credit balances exceeding EUR 1,000.00 or unusual irregularities (e.g., sudden increase in commissions, high cancellation rates, concentration on individual buyers), Heilarzneihaus reserves the right to suspend the redemption of the credit until the completion of a review. The Partner will be informed of such a review.
(3) During an ongoing review, orders that are wholly or partially financed by shop credit may be delayed or cancelled.
(4) The Partner is obliged to cooperate in a review and to provide evidence of their promotional activities upon request (e.g., screenshots, links to posts, reach analyses).
§ 8 Obligations of the Affiliate Partner
(1) The Partner undertakes to comply with all applicable legal provisions when promoting products, in particular the regulations of the Telemedia Act (TMG), the General Data Protection Regulation (GDPR), the Act Against Unfair Competition (UWG), the German Advertising of Medicinal Products Act (HWG) and the Health Claims Regulation (HCVO).
(2) Promotional posts containing affiliate links must be labeled as advertising, if legally required.
(3) The Partner may not make any health promises, diagnoses, or therapeutic recommendations that go beyond the product descriptions approved by Heilarzneihaus.
(4) The Partner is solely responsible for the tax treatment of their income and benefits from the affiliate program. Heilarzneihaus does not provide tax advice and assumes no liability for the Partner's tax obligations.
§ 9 Term and Termination
(1) The affiliate contractual relationship is concluded for an indefinite period and can be ordinarily terminated by either party at any time with a notice period of 14 days to the end of the month. Termination requires text form (email is sufficient).
(2) The right to extraordinary termination for good cause remains unaffected. Good cause particularly includes violations of § 6 of these terms.
(3) In the event of termination - regardless of the reason - § 5 para. 2 applies to the processing of the remaining credit.
(4) Heilarzneihaus reserves the right to discontinue the affiliate program, in whole or in part, at any time. In this case, all Partners will be informed with 30 days' notice and will be given the opportunity to redeem their existing credit in accordance with § 4.
§ 10 Right of Amendment
(1) Heilarzneihaus reserves the right to amend these Terms and Conditions of Participation at any time with effect for the future. Amendments will be communicated to the Partner by email or via the Partner Dashboard.
(2) The amendments shall be deemed approved if the Partner does not object in writing within 14 days of receipt of the notification. This legal consequence will be explicitly pointed out in the amendment notification.
(3) If the Partner objects to the amended terms, both parties have an extraordinary right of termination. For the remaining credit, § 5 para. 2 applies accordingly.
§ 11 Liability and Indemnification
(1) Heilarzneihaus is not liable for technical malfunctions of the affiliate system, in particular for the failure of tracking, the loss of cookie assignments, or errors in commission calculation, unless these are due to intent or gross negligence on the part of Heilarzneihaus.
(2) The Partner indemnifies Heilarzneihaus from all claims of third parties arising from the Partner's advertising measures, in particular in the event of violations of legal advertising regulations, trademark rights, or data protection regulations.
§ 12 Data Protection
(1) Personal data collected within the scope of the affiliate program will be processed in accordance with Heilarzneihaus's privacy policy.
(2) The Partner agrees that Heilarzneihaus stores and processes their contact details, credit balances, and activity data for the purpose of managing and reviewing the affiliate program.
§ 13 Final Provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of performance and jurisdiction is Frechen, provided that the Partner is a merchant, a legal entity under public law, or a special fund under public law.
(3) Should individual provisions of these Terms and Conditions of Participation be or become wholly or partially invalid, this shall not affect the validity of the remaining provisions.
(4) Subsidiary agreements, changes, and additions to these Terms and Conditions of Participation must be in text form.
